1. Service Scope
Merchant Mesh provides subscription software and technical tools for wallet-based login, payment links, QR codes, embed snippets, merchant dashboard access, and related support features. Unless expressly stated otherwise in a separate written agreement, Merchant Mesh is not acting as a bank, payment institution, money transmitter, escrow provider, custodian, exchange, broker, or merchant of record for a merchant's downstream transactions with that merchant's own users.
2. Merchant Independence and Downstream Use
Each merchant is solely responsible for how that merchant uses payment links, QR codes, embed snippets, templates, landing pages, checkout flows, customer messaging, pricing, promotions, and any goods, services, digital content, memberships, or subscriptions offered through those tools.
Merchant Mesh does not control, pre-approve, endorse, or guarantee a merchant's downstream business model, customer promises, fulfillment, advertising claims, refund practices, taxes, licensing, or legal compliance. A merchant's use of the platform does not make Merchant Mesh a party to that merchant's customer transaction.
3. Wallets, Keys, and Assets
Except where a page expressly says otherwise, wallet connections and on-chain payments are initiated and confirmed by the user through that user's own wallet. Merchant Mesh does not custody private keys, seed phrases, or merchant/customer digital assets, and is not responsible for losses caused by wallet compromise, user error, wrong addresses, revoked access, or irreversible blockchain transactions.
4. Subscription and Fees
The platform currently offers a subscription plan priced at 20 USDC (Base) per 30-day cycle for access to the merchant software tools. If auto-renew is enabled, the system may attempt renewal in accordance with the active subscription logic and wallet authorization status. Canceling a subscription generally stops future renewals only and does not retroactively unwind the current paid billing period.
5. Merchant Compliance Obligations
You are responsible for ensuring that your use of Merchant Mesh complies with the laws, regulations, sanctions rules, consumer protection standards, advertising standards, tax rules, intellectual property laws, privacy rules, and licensing requirements that apply to your activities, your target market, and your users.
If your business model, goods, services, or customer geography requires screening, disclosures, takedown handling, refunds, identity checks, age gating, or other compliance controls, those controls remain your responsibility unless Merchant Mesh expressly agrees in writing to provide them.
6. Monitoring, Restrictions, and Enforcement
Merchant Mesh may investigate, limit, suspend, disable, or terminate access where it reasonably suspects fraud, sanctions exposure, illegal activity, intellectual property infringement, malware distribution, deceptive conduct, abuse of the platform, or other high-risk behavior. Merchant Mesh may also preserve logs and cooperate with lawful requests, complaints, or takedown processes where appropriate.
7. Limitation of Liability
To the maximum extent permitted by law, Merchant Mesh is not liable for downstream merchant conduct, merchant-offered goods or services, third-party wallet behavior, blockchain congestion, smart contract issues, RPC failures, sanctions-related interruptions, irreversible transfers, or user mistakes outside the platform's direct software functionality. Nothing in these terms limits non-waivable rights or liability that cannot be excluded under applicable law.
8. Changes to These Terms
Merchant Mesh may update these terms to reflect product changes, risk controls, legal requirements, or operational changes. The updated version becomes effective when posted. Continued use of the service after an update means you accept the revised terms.
